Enterprise Terms of Service

Customer Data Ownership: You retain complete, unrestricted ownership of all data, documents, relational schemas, vectors, conversation histories, and derived business logic deployed on BhavitramAI.

1. Agreement & Platform Overview

These Enterprise Terms of Service ("Agreement") govern the access to and use of the BhavitramAI Enterprise AI Agent Platform and Operating Layer ("Platform", "Services") provided by BhavitramAI Platform Engineering ("BhavitramAI", "we", "our"). By registering an account, provisioning an enterprise organization, or accessing our APIs, you ("Customer", "Enterprise") agree to these Terms.

2. Enterprise Organizational Boundaries & Governance

The Platform provides multi-organization administrative capabilities:

  • Tenant Account: The primary commercial account holder responsible for subscription billing, global governance policies, master API credentials, and administrative root access.
  • Parent & Child Organizations: Distinct business units, departments, or subsidiaries created under a Tenant. Administrators must configure taxonomy permissions, tool access, and knowledge scopes appropriately for each child organization.
  • Account Integrity: The Customer is responsible for maintaining the confidentiality of all API keys, webhook signing secrets, and authentication credentials issued to administrators and team members.

3. Service Provisioning & Agent Runtime Availability

BhavitramAI provides a high-availability runtime engineered for horizontal scaling across cloud nodes, containerized ingestion workers, and asynchronous queue pipelines:

  • Service Level Commitment: For Professional and Enterprise tier customers, BhavitramAI targets a minimum monthly uptime of 99.9%, excluding scheduled maintenance announced with at least 48 hours prior notice.
  • Provider Failover: The platform supports automated primary, secondary, and fallback LLM routing chains. When a third-party model provider experiences transient outages or latency spikes, the agent runtime initiates deterministic failover according to Customer-configured policies.

4. Acceptable Use & Security Guardrails

The Customer agrees not to utilize the Platform to:

  • Generate, distribute, or automate harmful, abusive, fraudulent, or defamatory communications across omnichannel providers.
  • Attempt to bypass our deterministic Abstract Syntax Tree (AST) SQL validators or submit queries aimed at damaging connected relational databases.
  • Conduct denial-of-service (DoS) attacks, brute-force webhook endpoints, or reverse-engineer the proprietary platform kernel.
  • Violate messaging channel terms of service established by Meta (WhatsApp Cloud API), Telegram, Slack, or Microsoft Teams.

5. Usage Metering, Invoicing & Payment

Subscriptions are billed on a monthly or annual recurring cycle as selected during enrollment:

  • Tier Limits: Each plan provides quotas for active bots, parent/child organizations, monthly active conversations, and document ingestion storage.
  • Metered Overages: Any consumption exceeding plan thresholds (e.g., extra LLM token passes, additional vector search queries, or high-volume WhatsApp sessions) is metered transparently and billed at the agreed schedule.
  • Payment Terms: Fees are due immediately upon invoice generation via credit card or approved enterprise corporate invoicing (Net 30 for qualified Enterprise tier customers).

6. Intellectual Property & Sovereign AI Rights

BhavitramAI retains all rights, title, and interest in and to the platform software, user interfaces, documentation, SDKs, and underlying algorithms. The Customer retains all rights, title, and interest in all Customer data, uploaded files, database contents, custom taxonomy trees, and agent conversation logs.

7. Limitation of Liability

To the maximum extent permitted by applicable law, neither party shall be liable for indirect, incidental, consequential, punitive, or special damages arising out of or related to this Agreement. BhavitramAI's total cumulative liability under this Agreement shall not exceed the aggregate fees paid by the Customer in the twelve (12) months preceding the incident.

8. Termination & Orderly Offboarding

Either party may terminate this Agreement with thirty (30) days written notice. Upon termination, Customer administrators may export all conversation logs, document vectors, and taxonomy schemas via our standard export APIs. Following the transition window, BhavitramAI permanently purges all Customer data from active databases and vector stores in accordance with our Privacy Policy.
